Welcome to RyvonX. These Terms of Service ("Terms") govern your access to and use of the RyvonX platform, website, mobile applications, products and services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

RyvonX provides a technology platform that connects investors with verified Pool Managers who manage investment pools in accordance with the rules and features available on the Platform. RyvonX facilitates participation in investment opportunities, account management, wallet services, reporting and related platform functionality. Unless expressly stated otherwise, RyvonX does not provide personalised investment advice, financial planning, tax advice or legal advice.

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use and protect your personal information.

For the purposes of these Terms:

Account means a registered RyvonX user account.

Administrator means RyvonX personnel authorised to manage and operate the Platform.

Investor means any user who contributes funds to participate in an investment pool.

Pool means an investment opportunity created and managed through the Platform.

Pool Manager means a verified trader authorised by RyvonX to manage one or more investment pools.

Investment Cycle means the funding, trading and settlement period for a specific investment pool.

Settlement means the process of calculating and distributing profits or losses after an investment cycle ends.

Wallet means the digital account used to hold balances and process transactions on the Platform.

Services means all products, features and functionality provided by RyvonX.

To use RyvonX, you must:

• be at least 18 years old or the age of majority in your jurisdiction;

• have the legal capacity to enter into binding agreements;

• provide accurate and complete registration information;

• comply with all applicable laws and regulations;

• not be located in a jurisdiction where use of the Platform is prohibited.

RyvonX reserves the right to restrict or deny access where required by law, regulatory obligations or internal compliance policies.

Only one personal account may be maintained unless expressly authorised by RyvonX.

You are responsible for maintaining the confidentiality of your login credentials.

You agree to:

• keep your password secure;

• immediately notify RyvonX of unauthorised account access;

• ensure that all information provided remains accurate and up to date.

You remain responsible for all activities conducted through your account.

RyvonX may suspend or terminate accounts that contain false information, violate these Terms or present security concerns.

RyvonX operates compliance procedures designed to prevent fraud, money laundering and financial crime.

Users may be required to provide:

• proof of source of funds;

• additional documentation where required.

RyvonX may delay or refuse deposits, withdrawals or access to certain services until verification requirements have been completed.

Providing false or misleading information may result in immediate suspension or permanent termination of your account.

RyvonX provides technology services that enable users to:

• create and manage accounts;

• participate in investment pools;

• browse verified Pool Managers;

• manage wallet balances;

• make deposits and withdrawals;

• monitor investment performance;

• receive settlement information;

• access transaction history and reports.

RyvonX provides the infrastructure supporting these services but does not guarantee investment performance or profits.

Investors are responsible for:

• conducting their own research before participating in any pool;

• reviewing Pool Manager information;

• understanding investment risks;

• investing only funds they can afford to lose;

• complying with applicable laws;

• maintaining accurate account information.

Investors acknowledge that all investments involve risk and that losses may occur.

Pool Managers agree to:

• provide accurate profile information;

• comply with RyvonX rules;

• manage pools responsibly;

• avoid misleading performance claims;

• maintain professional conduct;

• comply with applicable laws;

• cooperate with compliance reviews.

RyvonX reserves the right to suspend or revoke Pool Manager status at its sole discretion.

All investments involve risk.

Users acknowledge that:

• investment values may increase or decrease;

• past performance does not guarantee future results;

• losses may occur;

• market conditions may affect returns;

• technical interruptions may occur.

RyvonX does not guarantee any minimum return or protection against loss unless expressly stated within a specific investment product governed by separate terms.

Users remain solely responsible for their investment decisions.

Users may deposit funds into their RyvonX Wallet using supported payment methods.

Withdrawals are subject to:

• identity verification;

• security checks;

• compliance reviews;

• applicable fees;

• processing times.

RyvonX may delay or refuse transactions where fraud, regulatory obligations or security concerns exist.

Users remain responsible for ensuring wallet addresses and payment details are accurate.

RyvonX may charge fees for certain services including:

• platform services;

• withdrawals;

• investment management;

• transaction processing;

• other services disclosed before use.

Applicable fees will be displayed within the Platform before completion of the relevant transaction.

RyvonX reserves the right to update its fee schedule at any time, subject to applicable law.

Investment pools operate according to defined funding and trading periods.

Following completion of an Investment Cycle:

• profits and losses are calculated;

• applicable fees are deducted;

• settlements are processed;

• investor balances are updated.

Settlement calculations are performed in accordance with the rules governing each investment pool.

Users must not:

• commit fraud;

• submit false documents;

• impersonate another person;

• engage in money laundering;

• finance terrorism;

• exploit platform vulnerabilities;

• attempt unauthorised access;

• interfere with Platform operations;

• manipulate investment performance;

• misuse other users' information;

• violate applicable laws.

Violation may result in immediate suspension or permanent account termination.

RyvonX may suspend, restrict or terminate accounts where:

• these Terms are violated;

• fraud is suspected;

• regulatory obligations require action;

• false information is provided;

• illegal activity is detected;

• the security of the Platform is at risk.

Termination does not remove obligations that arose before account closure.

All Platform content, including software, logos, trademarks, graphics, text, databases and design elements, remains the exclusive property of RyvonX or its licensors.

Users may not reproduce, modify, distribute or exploit Platform content without prior written permission.

To the maximum extent permitted by law, RyvonX shall not be liable for indirect, incidental, consequential or special damages arising from your use of the Platform, including losses resulting from market movements, investment decisions, technical interruptions or third-party services.

Nothing in these Terms excludes liability that cannot legally be excluded.

You agree to indemnify and hold harmless RyvonX, its directors, employees, affiliates and partners from claims, damages, liabilities, costs and expenses arising from your breach of these Terms, misuse of the Platform or violation of applicable laws.

RyvonX may update these Terms from time to time.

Where changes are material, users will be notified through the Platform, email or other appropriate communication channels.

Continued use of the Platform after the effective date of updated Terms constitutes acceptance of those changes.

These Terms shall be governed by and interpreted in accordance with the laws applicable to RyvonX's principal place of business, unless otherwise required by applicable law.

Any disputes arising from these Terms shall be resolved through the competent courts or dispute resolution mechanisms applicable within that jurisdiction.
